About the Role
The Company is in need of an Interim General Counsel with a focus on private equity and real assets. The successful candidate will be responsible for a range of legal matters, including fund formation and investor documentation, RIA regulatory and compliance support, governance, risk, and operations, as well as transactions and portfolio company matters. This role requires a seasoned professional with a J.D. from an accredited law school, active bar membership, and a minimum of 10-15 years' of relevant experience. The ideal candidate will have a background in private equity fund formation, real assets and / or corporate transactions, and RIA regulatory experience under the Investment Advisers Act of 1940.
Key responsibilities for the Interim General Counsel include liaising with internal and external stakeholders on LPA analysis and compliance, leading the drafting and negotiation of fund LPAs, PPMs, and other related documents, and managing fund amendments and waivers. The role also involves maintaining corporate governance, reviewing and negotiating vendor contracts, and advising on operational risk. The candidate should be adept at structuring and facilitating real asset investments, coordinating with portfolio company general counsel, and providing guidance on governance, board processes, and compliance frameworks. Excellent drafting and negotiation skills, as well as the ability to manage outside counsel efficiently, are essential for this position. The Interim General Counsel will also be expected to provide team leadership, ensure continuity during the leave period, and be prepared to serve as the interim legal lead with a pragmatic, business-first approach.
