A DAY IN THE LIFE

Reporting to the General Counsel the Corporate Counsel Federal Programs will be an integral part of the Companys legal team and will work closely with members of the legal sales and operational teams. For this position we are seeking seasoned counsel with U.S. Federal Government contracting this role you will advise on a broad range of government and commercial contracting-related business and regulatory issues working directly with key business segments on legal strategy and providing day-to-day support. The successful candidate must have the ability to identify critical legal and compliance issues pertinent to U.S. Federal Government contractors appropriately balance risk and business strategy and convert legal recommendations to actionable advice for operational and other personnel. The Corporate Counsel Federal Programs must be able to develop relationships with and influence internal and external stakeholders and will need to collaborate with peers and colleagues and must be nimble advising on strategy at the highest level while also diving into the weeds directly handling legal and contracting support work. Expertise in government contracts contract drafting and negotiation subcontracting joint ventures and government contracts compliance will be instrumental to your success in this role.

Successful candidates will demonstrate strong practical knowledge of government contracting rules and regulations a desire for significant responsibility and a fast-paced work environment the ability to manage multiple internal clients and priorities and excellent analytical and communication skills.

Advise on all aspects of government contracting-related business and regulatory issues including legal strategy and day-to-day support for government and general commercial contract negotiation performance administration modification and termination.

Analyze contractual requirements special provisions terms and conditions to ensure compliance with appropriate laws regulations and Company policies and procedures.

Act as a strategic business partner to government sector leads operations and other functional teams in navigating the procurement process and drafting reviewing and negotiating government contracts subcontracts joint ventures cooperative agreements and modifications.

Support train and educate teams and develop best practices and policies to advance government contracting opportunities strengthen partnerships solve problems and manage risks.

Provide counsel on compliance-related matters in a solution-oriented business-centric way including applicable regulations internal policies audits certifications and reporting requirements.

Specific regulatory frameworks include FAR and DFARS and application of FAR flowdown clauses regulations data rights Buy American Act Service Contract Act CMMC and other similar regulations.

Effectively advise and navigate complex regulatory requirements working closely with cross-functional teams including IT Finance HR Safety and Operations.

Advise internal stakeholders on regulatory compliance matters related to state and local government procurement including adherence to applicable statutes regulations and policies.

Prepare contract summaries to identify key compliance requirements.

Prepare and negotiate subcontracts for federal projects managing flowdowns and helping oversee subcontractor qualification for government contracting.

Maintain SAM registrations and representations and certifications for subsidiaries.

Support joint ventures in administration contracting and other reporting requirements.

Support audit readiness regulator engagement and internal training across the enterprise as needed.

NECESSARY QUALIFICATIONS

JD from an accredited law school and admission to practice law in at least one US jurisdiction.

Minimum 10 years of experience practicing law with a focus on government contracts preferably with in-house experience.

Strong and practical knowledge of US Federal Acquisition Regulations the Defense Federal Regulation Acquisition Regulation Supplement and other contracting and subcontracting regulatory compliance matters including cost accounting and CMMC (cyber and physical security) requirements.

Experience with environmental laws and regulations strongly preferred.

Sound and practical business judgment as well as common sense

Comfort in identifying prioritizing and solving problems

Strong writing and presentation skills and attention to detail organizational skills and a commitment to quality

Ability to prioritize tasks think clearly under pressure meet tight deadlines and thrive with minimal supervision in a fast-pace growing company

Ability to navigate uncertainty and provide legal guidance

Ability to think and act strategically and proactively
