Senior Paralegal - Corporate Governance

Robert Half Legal is partnering with an industry-leading global energy production company headquartered in the west suburbs who is looking to hire a Senior Paralegal - Corporate Governance with at least 5-10+ years of experience to join their in-house legal department. The Senior Paralegal - Corporate Governance will directly support the Deputy General Counsel and the legal department as a whole while handling the below responsibilities. The ideal candidate will have prior public company corporate governance experience including managing all board of directors responsibilities, global subsidiary management, and corporate & SEC related filings. The salary for this position is between $110-135K plus a 10% bonus target, and the company offers a flexible hybrid WFH schedule (2 days WFH per week). In addition, this position is eligible to participate in the company's comprehensive benefits package including medical (FSA & HSA), dental, vision, PTO, 401k (5% match), LT / ST Disability, Life Insurance, and more.

Senior Paralegal - Corporate Governance Responsibilities :

• Manage all Corporate Governance and corporate maintenance activities
• Prepare and manage all Board & Committee meeting matters
• Global Subsidiary management
• Annual Meeting and Diligence matters
• Prepare Section 16 reports of changes in beneficial ownership of Company stock on Forms 3, 4 & 5 and file with the SEC
• Assist with preparing and filing of multiple SEC documents including Forms 10-K, 10-Q, 8-K, and the Annual Meeting Proxy Statement
• Support financing and other transactional matters
• Corporate records and information management maintenance
• Assist with all Compliance matters including the administration of the Annual Code of Conduct
• Manage the tracking of the legal department budget
• Assist with litigation support
• Assist with special projects when needed
