About This Job
The Associate General Counsel provides legal expertise and strategic guidance to support the organization's operations and compliance efforts. This role involves advising on corporate governance, regulatory matters, contracts, and risk management while ensuring adherence to applicable laws and policies. Working closely with internal teams and external counsel, the Associate General Counsel plays a key role in mitigating legal risks and facilitating business objectives.
Responsibilities
Draft, review, and negotiate transaction documents, with a primary focus on mergers & acquisitions, securitizations, and commercial real estate transactions.
Develop and maintain standardized form contracts for routine business activities.
Identify and mitigate legal risks to protect the Bank's interests.
Ensure adherence to the Bank's legal policies and maintain compliance with applicable laws and regulations.
Provide timely, practical, and solution-oriented legal support to all Bank business units.
Qualifications
Juris Doctor (JD) degree from a reputable law school.
At least 5 years of experience at a major law firm, focusing on mergers & acquisitions and securities law, including drafting, review, and negotiation of transaction documents.
Experience with real estate transactions is a plus but not mandatory.
Familiarity with third-party service provider agreements is preferred but not required.
Strong problem-solving, critical thinking, analytical, and strategic planning skills.
Ability to thrive in a fast-paced environment.
Proven ability to manage a diverse and complex workload effectively.
Excellent interpersonal, communication, and negotiation skills.
Outstanding organizational skills with good time management and follow-up abilities.
Active California Bar membership in good standing, with no disciplinary history.
Target Compensation : $125,000 - $140,000 per year, with potential annual discretionary bonuses (cash and stock options).
