Corporate Paralegal

FL - North Palm Beach

Pay Rate : $60000 - $80000 per year

Our client, a well-established law firm in North Palm Beach, is seeking an experienced Corporate Paralegal to join their legal team. The ideal candidate will have a solid background in corporate law, entity management, and transactional support. This position offers a stable and professional environment with opportunities to work closely with attorneys on a variety of corporate matters.

Responsibilities :

  • Prepare and file corporate formation and dissolution documents (LLCs, corporations, partnerships).
  • Draft and maintain corporate governance materials, including bylaws, resolutions, operating agreements, and meeting minutes.
  • Manage entity databases and maintain compliance with state and federal filing requirements.
  • Assist attorneys with mergers, acquisitions, and other corporate transactions, including due diligence and closing documents.
  • Conduct legal research and prepare summaries or reports as needed.
  • Liaise with clients, registered agents, and state agencies to coordinate filings and document requests.
  • Support general corporate housekeeping and assist with special projects as assigned.Qualifications :
  • Minimum of 3–5 years of experience as a corporate paralegal in a law firm or corporate legal department.
  • Strong understanding of corporate law, entity management, and transactional procedures.
  • Proficiency with Microsoft Office Suite and entity management software (, CSC, hCue, or similar).
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Bachelor's degree and / or Paralegal Certificate preferred.
