Home of 200+ attorneys and serving clients from 6 different office locations across California and New York, we are searching for a mid-level attorney with a background in  Corporate Services  focusing on Real Estate & Fund Formation!

ABOUT THE ROLE :

We are seeking a Corporate Attorney with a strong background in real estate joint ventures, particularly preferred equity JV structures. This role requires extensive experience in fund formation across real estate, venture capital, and private equity sectors. The ideal candidate will have M&A experience with a focus on transactional securities matters, including asset and equity purchase transactions. While compliance experience with securities laws (such as the Investment Company Act, Investment Advisers Act, and Securities Act) is preferred, it is not required. This position places a strong emphasis on client interaction and communication skills, making it ideal for someone who thrives in a collaborative, client-facing environment.

REQUIREMENTS :

• 4–6 years of corporate law experience
• Extensive experience in real estate joint ventures, including preferred equity JV structures and syndications.
• Strong background in fund formation, particularly in real estate, venture capital, and private equity.
• Proven expertise in M&A transactions, including asset and equity purchase transactions.
• Skilled in drafting and negotiating LLC agreements, LP agreements, and related documentation.
• Experience with securities offerings related to joint ventures and syndications.

Familiarity with securities transactional and regulatory matters, including Investment Company Act, Investment Advisers Act, and Securities Act (preferred but not required).

Active California Bar admission required.
