Staff Director Securities / Corporate Law

Overview

Implements the highest corporate governance standards and structure. Provides leadership on corporate compliance initiatives.

Essential Functions

• Implements the highest corporate governance standards and structure.
• Responsible for proxy statement and related executive compensation and corporate governance disclosures.
• Provides legal support for all SEC filings and reporting activities.
• Provides legal support for finance / treasury initiatives, including capital markets transactions.
• Supports the Board of Directors and Board Committees, including meeting preparation and support for annual stockholder meetings.
• Provides legal support for Investor Relations, including investor outreach.
• Provides legal support and special advice to key clients in Treasury, HR, Executive Compensation, and Finance.
• Provides legal support on corporate sustainability matters, including reporting.
• Writes, reviews, and advises on legal contracts and agreements.
• Performs other related duties as required.

Minimum Education

Juris Doctorate Degree and admission to the Tennessee Bar.

Minimum Experience

Significant related experience as an attorney with substantial experience in general corporate and securities law, mergers and acquisitions, corporate finance, executive and employee benefits. Demonstrably successful management experience. Strong management, negotiation and communication skills.

Preferred Qualifications

Minimum 5 years leadership experience and strong presentation skills. This position interacts with executives and the Board. Broad range of securities, corporate governance, executive compensation.

Pay

Min $13,942 / mo – $27,883 / mo.

Location & Work Arrangement

This position is a hybrid role in Pittsburgh, Plano, DC, or Memphis. Candidates must live within a 50‑mile radius and will be required to work at a FedEx Campus location several times per week.
